“Retainer Agreement & Subscription Payments
By signing your online proposal and letter of engagement, you have agreed to retain Officepal (“Service Provider”) to proceed with the requested services and you agree to the terms and conditions as set forth in your proposal and letter of engagement:

Services
You have retained Officepal to perform the services set out in your proposal and letter of engagement.

Payment
You agree to commit to maintain the monthly payments set out in your proposal and letter of engagement. All payments are collected by Direct Debit on a monthly basis. You will be invoiced on 1st of each month with payment collected from your bank account on or around 20th of each month.

Retainers & Subscriptions
Your payments to Officepal represent a monthly retainer fee to retain Officepal as your professional service provider. Payments ensure that we continue to provide ongoing support in line with the terms and conditions of your chosen service and/or package as set out in your proposal and letter of engagement.

If payment is not received for any given month, all work on your business affairs may be suspended until your monthly payments are brought up to date.

Payments rendered under this agreement are considered fully earned and non-refundable. This is on the basis that the nature of our services are such that we provide an ongoing service solution to your business throughout the year and not merely on a ‘once a year’ basis.

Payments may be cancelled upon submission of written request and are subject to 30-day notice period.

Price Alterations & Service Renewal
The individual prices for all services and packages offered by Officepal are subject to an annual increase based on the current rate of inflation plus 1%.

Your monthly payments may be subject to increase throughout the year if additional services are requested and agreed under a new proposal and updated letter of engagement, or if the cost of software subscriptions are increased by third party providers (such as Xero and/or Receipt Bank).

Your services and package with Officepal are automatically renewed annually for a 12-month period, as follows:

Uk individuals, directors, sole traders and partnerships

On 1st April each year, your services will be renewed for the new tax year ahead and all payments made from that point forward are legally binding under clause 3 above.

The effect of the renewal of your services and package is that a new annual contract takes effect from 1st April and lasts until 31st March in the next year. Services may be cancelled at any point during the year however payments made up to date of cancellation are deemed fully earned and are non-refundable in line with clause 3 above.

Your contract with Officepal is renewed automatically on 31st March each year unless you advise us otherwise in advance in line with the termination conditions at clause 8 below.

Irish individuals, directors, sole traders and partnerships

On 1st January each year, your services will be renewed for the new tax year ahead and all payments made from that point forward are legally binding under clause 3 above.

The effect of the renewal of your services and package is that a new annual contract takes effect from 1st January and lasts until 31st December in the same year. Services may be cancelled at any point during the year however payments made up to date of cancellation are deemed fully earned and are non-refundable in line with clause 3 above.

Your contract with Officepal is renewed automatically on 1st January each year unless you advise us otherwise in advance in line with the termination conditions at clause 8 below.

Limited companies – UK, NI and Ireland

On the first day of the company’s accounting period each year, your services will be renewed for the year ahead and all payments made from that point forward are legally binding under clause 3 above.

The effect of the renewal of your services and package is that a new annual contract takes effect from the first day of your accounting period and lasts until your next year-end date. Services may be cancelled at any point during the year however payments made up to date of cancellation are deemed fully earned and are non-refundable in line with clause 3 above.

Your contract with Officepal is renewed automatically on the first day of your accounting period each year unless you advise us otherwise in advance in line with the termination conditions at clause 8 below.

Additional Work
You understand that any additional work beyond the scope of your proposal and letter of engagement will be negotiated separately and will require a separate written proposal and agreement. Services requested by you and provided by Officepal that do not fall within the scope of your proposal and letter of engagement will be billed to you separately. The price for such additional service will be fixed and agreed with you in advance.

Lien
All materials or property belonging to you, as well as work performed, may be retained as security until all just claims for non payment of retainer fees or all other outstanding debts due to Officepal are satisfied.

Indemnification/Release of Liability
You shall indemnify, defend and hold Officepal harmless from any and all suits, costs, damages or proceedings, including, but not limited to, Officepal’s services, pertaining to any and all litigation in which you (as our client) are a party. You (as our client) shall pay all expenses incurred by Officepal including, but not limited to, all attorneys’ fees, costs and expenses incurred should Officepal be named a party in any litigation to which you (as our client) are a party. You (as our client) shall further indemnify and hold harmless Officepal and its agents, officers and directors from liability for any and all claims, costs, suits and damages, including attorneys’ fees arising directly or indirectly out of or in connection with the operation of you (as our client), and from liability for injuries suffered by any person relating to you (as our client). This agreement to indemnify Officepal is not limited to any acts or omissions, statements or representations made by Officepal in the performance and/or non performance of Officepal’s duties hereunder and relating to all contractual liabilities, which may be alleged or imposed against Officepal. All reasonable precautions will be taken to safeguard the property entrusted to Officepal. In the absence of negligence, however, Officepal will not be held liable for loss, destruction or damage of any kind resulting from items which are lost or delayed in transit, whether such transit is electronic, fax, mail or otherwise, nor for unauthorized use by others of such property. Officepal will not be held liable for any incidental, consequential or indirect damages, including without limitation damages for loss of profits, business interruption, loss of information, plagiarism, etc. Officepal will not be held liable for typographical omissions or errors.

Termination
All services under your proposal and letter of engagement may be terminated by either party for any reason with 1 months advance written notice of intent to cancel. Monthly retainer fees and subscriptions are due in full for the intended month of cancellation, on a pro rata basis.”
